Terms of Service

ACCEPTANCE OF TERMS

  1. Composite Software Systems (hereinafter referred to as 'Composite') provides its services to you subject to the following Terms of Service ("TOS"). Your visit to this website and/or transaction with/through the Composite website, is governed by these terms and conditions. Please read them carefully. In addition, when you use any current or future Composite services or visit or purchase from any business affiliated to or with Composite in the future, whether or not included in the Composite website, you also will be subject to the guidelines and conditions applicable to such service or business.


  2. We may update the TOS from time to time without notice to you. You can review the most current version of the TOS at any time at: http://www.compositesoft.com/tos. In addition, when using particular Composite services, you shall be subject to any posted guidelines or rules applicable to such services, which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.


DESCRIPTION OF SERVICE

  1. Composite currently provides users with access to software relating to Business Components for Internet, Intranet and Desktop Business Applications. Business functionality is packaged into simple, easy to use components, component assemblies, and component sub-systems. They include Business processing and computations for Core Business Information such as organisation, operating units, selling and buying policies, viz. payment methods, credit terms, discount terms, delivery terms, static information such as territories, states, cities, transaction types and many more such information, made available as ready-made components.

  2. Composite provides access to these components to the Trading and Manufacturing businesses. In addition the Generic Components may also be used in specific vertical segments such as Banking, Insurance and Health Care sectors etc. The components may be extended if required to meet the needs of a particular business or industry.


  3. Composite currently provides "BitSlice". These components have three usage levels:
    1. Components may be used ‘As is’ with no change
    2. Components may be customized through the ‘Customizer’ for various behavioral / look-and-feel characteristics and subsequently used
    3. Components may be extended for ‘additional functionality’ or ‘changes in existing functionality’ using standard O-O techniques

  4. The 'Currency Sub-system' which is a part of BitSlice and consists of a set of components that can be used to assist in selling goods/services in foreign currency, is available for download from the website, is free of charge and is governed by this Terms of Service. Composite may make available for download from the website, the software, on payment of a fee, in the near future, however the software for which a fee is payable shall be governed by the software license agreement applicable to such software package purchased by you.


  5. You shall be required to complete the registration form in order to download the version of the software/component for which no fee is payable. If you wish to purchase our software for a fee you may register and complete your purchase order form at our website. After completing the purchase order form you will be required to send us a Demand Draft (DD) for the stipulated amount and the software package will be delivered by FTP transfer, e-mail and/or on a CD by courier/post within 4 days after the receipt of DD.


  6. You also understand and agree that the service may include advertisements and that these advertisements may be necessary for Composite to provide optimum service to you. You also understand and agree that the service may include certain communications from Composite such as service announcements, administrative messages and the Composite Newsletter, if any, and that these communications are considered part of Composite services to you and you will be able to opt out of receiving them subject to your request for the same. Unless explicitly stated otherwise, any new features that augments or enhances the current software/components, including the release of new Composite properties, shall be subject to the TOS.


  7. You are responsible for obtaining access to the website of Composite and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the website of Composite.


REGISTRATION OBLIGATIONS

  1. In consideration of your use of the Composite website and access to the software/component offered by Composite, you agree to:
    1. Provide true, accurate, current and complete information about yourself as prompted by the website's registration form (such information being the "Registration Data") and

  2. If you provide any information that is untrue, inaccurate, not current or incomplete or Composite has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Composite reserves the right to refuse any and all current or future use of the Composite website (or any portion thereof).


  3. Composite is concerned about the safety and privacy of all its users, particularly children. For this reason, no person below the age of 18 is allowed to register and avail of the services offered by Composite without the involvement of a parent or guardian. Composite shall not be held responsible for any actions of persons below the age of 18 who register for its services. Composite also reserves the right to discontinue its services to persons who it reasonably believes are under the age of 18.


PRIVACY

  1. Please review our Privacy Policy, which also governs your visit to Composite to understand our practices and services on Registration Data.


REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT

  1. If Composite makes available the option for visitors to post reviews, comments, and other content; and submit suggestions, ideas, comments, questions, or other information, the visitors may not post any such reviews, comments, and other content if the same is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and consists of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam."


  2. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of the content. Composite reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.


  3. You agree to not use the Composite website, if such service is provided, to:


    1. download, copy or extract any data, computer data base or information from the Composite or other computer, computer system or computer network including information or data owned, used or under the direct or indirect control of Composite that is not authorised by Composite;


    2. introduce or cause to be introduced any computer contaminant or computer virus into any computer, computer system or computer network owned, used or under the direct or indirect control of Composite;


    3. damage or cause to be damaged any proprietary Composite computer, computer system or computer network, data, computer data base or any other programmes residing in computer, computer system or computer networks owned, used or under the direct or indirect control of Composite;


    4. disrupt or cause disruption of any computer, computer system or computer network owned, used or under the direct or indirect control of Composite;


    5. deny or cause the denial of access to any person authorised to access the computer, computer system or computer network owned, used or under the direct or indirect control of Composite by any means whatsoever;


    6. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;


    7. cause wrongful loss or damage to Composite or any person by destroying or deleting or altering any information residing in the computer resource of Composite or diminish its value or utility or affect it injuriously by any means,


    8. harm minors in any way;


    9. upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);


    10. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;


    11. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose;


    12. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware;


    13. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;


    14. intentionally or unintentionally violate any applicable Indian or international law, including, but not limited to, regulations promulgated by the Government of India and/or any Indian State Government and/or any of its agencies or departments and any regulations having the force of law;


    15. "stalk" or otherwise harass another; or


    16. collect or store personal data about other users.


  4. Use of the Composite website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions.


  5. If the option is made available to you and if you do post content or submit material, and unless we indicate otherwise, you grant Composite a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Composite and sub-licensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Composite for all claims resulting from content you supply.


  6. Composite has the right but not the obligation to monitor and edit or remove any activity or content. Composite takes no responsibility and assumes no liability for any content posted by you or any third party.

ELECTRONIC COMMUNICATIONS

  1. When you visit the Composite website or send e-mails to us, you are communicating with us electronically.


  2. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy all and any legal requirement that such communications be in writing.


SPECIAL PRECAUTIONS FOR INTERNATIONAL USE

  1. Recognizing the global nature of the Internet, you agree to comply with all Indian legislations regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from India or the country in which you reside.


INDEMNITY

  1. You agree to indemnify and hold Composite, its officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Composite website, your use of the website, your connection to the website, your violation of the TOS, or your violation of any rights of another.


NO RESALE OF SOFTWARE

  1. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the software that you download from our website without payment of any consideration, fee or charge.


  2. If you download any component for a trial purpose and such component is sold by you to any third party you shall be liable for appropriate civil and criminal proceedings against you for violation of this Terms of Service and the costs and consequences shall be borne by you.


GENERAL PRACTICES REGARDING USE AND STORAGE

  1. You acknowledge that Composite may establish general practices and limits concerning use of the website, including without limitation the maximum number of days that messages, message board postings or other uploaded Content will be retained by the website.


MODIFICATIONS TO WEBSITE

  1. Composite reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the website (or any part thereof) with or without notice. You agree that Composite shall not be liable to you or to any third party for any modification, suspension or discontinuance of the website.


DEALINGS WITH ADVERTISERS

  1. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Composite website, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Composite shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.


LINKS

  1. The Composite website may provide links to other Web sites or resources. As Composite has no control over such sites and resources, you acknowledge and agree that Composite is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources.


  2. You further acknowledge and agree that Composite shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.


LICENSE AND SITE ACCESS

  1. Composite grants you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Composite. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. You may not use any Composite logo or other proprietary graphic or trademark as part of the link without express written permission.


COMPOSITE SYSTEM’S PROPRIETARY RIGHTS

  1. You acknowledge and agree that the website and any all software/components used in connection with the website contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the website or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Composite or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the website or the Software, in whole or in part.


  2. Composite grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software/component on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work/product of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. Derivative work/product shall mean computer programs in machine-readable object code or source code form developed, which is a modification of, enhancement to, derived from or based upon the Software.


  3. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the website by any means other than through the interface that is provided by Composite for use in accessing the website.


COPYRIGHT

  1. All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, documentation, help files and software, is the property of Composite or its content suppliers and protected by Indian and international copyright laws. The compilation of all content on this site is the exclusive property of Composite and protected by the Indian and international copyright laws. All software used on this site is the property of Composite or its software suppliers and protected by Indian and international copyright laws.

TRADEMARKS

  1. Unless otherwise specifically stated Composite or any other mark, symbol, text, logo, drawing or design indicated on our site are the trademarks of Composite. The marks may not be used in connection with any product or service that does not belong to or is proprietary to Composite, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Composite.


  2. All other trademarks not owned by Composite that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Composite or its franchises.


OTHER BUSINESSES

  1. Composite may provide links to the sites of certain other businesses. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or individuals or the content of their Web sites. Composite does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.


APPLICABLE LAW

  1. By visiting Composite you agree that specifically the Indian Information Technology Act, 2000 and the other applicable laws of India, without regard to principles of conflict of laws, will govern these Terms of Service and any dispute of any sort that might arise between you and Composite.


DISPUTES

  1. Any dispute relating in any way to your visit to Composite website or to the software components downloaded by you without payment of any consideration or to the future services that you may use of Composite shall be submitted to confidential arbitration in Pune, Maharashtra, India except that, to the extent you have in any manner violated or threatened to violate Composite's intellectual property rights, Composite may seek injunctive or other appropriate relief in any court in India, and you consent to exclusive jurisdiction and venue in such courts.


  2. Arbitration under this agreement shall be conducted under the rules then prevailing of the Arbitration and Conciliation Act, 1996. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.


NOTICE

  1. Notices to you may be made via either email or regular mail. Composite may also provide notices of changes to the TOS or other matters by displaying notices or links to notices to you generally on the website.


SITE POLICIES, MODIFICATION, AND SEVERABILITY

  1. Please review our other policies posted on this site. We reserve the right to make changes to our site, policies, and these Terms of Service at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

GENERAL INFORMATION

  1. If any part of this agreement is determined to be invalid or unenforceable pursuant to any applicable Indian law including, but not limited to, the warranty disclaimers and liability limitations provided elsewhere in the website, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.


  2. The TOS constitute the entire agreement between you and Composite and govern your use of this website, superseding any prior agreements between you and Composite. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. The laws of India without regard to its conflict of law provisions shall govern the TOS and the relationship between you and Composite. You and Composite agree to submit to the personal and exclusive jurisdiction of the courts located within Pune, Maharashtra, India.


  3. The failure of Composite to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.


The section titles in the TOS are for convenience only and have no legal or contractual effect.
